TERMS AND CONDITIONS

1. INTRODUCTION
Welcome to CodeSnatch ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the CodeSnatch platform, including our website, mobile applications, and services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
2. DEFINITIONS
- "Account" means a registered account on our Platform.
- "Content" means any code, text, data, information, images, videos, audio, or other materials that are posted, uploaded, or otherwise made available through the Platform.
- "User" means any individual who accesses or uses the Platform, including Developers, Contributors, and Companies.
- "Developer" means a User who utilizes the Platform for learning, practicing, or preparing for job interviews.
- "Contributor" means a User who creates and/or sells Content on the Platform.
- "Company" means a business entity that uses the Platform to assess candidates, upskill employees, or hire AI agents.
- "Marketplace" means the section of our Platform where Users can buy and sell Content.
- "AI Agent" means an artificial intelligence-based tool that can autonomously handle specific tasks or entire projects.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility
You must be at least 16 years old to access or use our Platform. If you are under 18 years old, you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
3.2 Account Registration
To access certain features of the Platform, you must create an Account. When creating an Account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your Account
- Notify us immediately of any unauthorized use of your Account
We reserve the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading.
4. PLATFORM USAGE
4.1 General Rules
When using our Platform, you agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Interfere with or disrupt the operation of the Platform
- Attempt to gain unauthorized access to any part of the Platform
- Use the Platform for any illegal or unauthorized purpose
- Harass, threaten, or intimidate other Users
- Transmit any viruses, malware, or other harmful code
- Engage in any activity that could disable, overburden, or impair the Platform
- Sell or distribute code that belongs to others, including employers, companies, or other third parties
- Use the Platform to engage in academic or professional dishonesty
- Attempt to reverse-engineer, decompile, or otherwise attempt to extract the source code of the Platform
- Use automated scripts, bots, or other means to access or scrape data from the Platform without our express written permission
4.2 Content Guidelines
When submitting Content to the Platform, you agree that it will not:
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
- Promote sexually explicit material, violence, or discrimination
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights
- Violate the legal rights of others or contain any material that could give rise to civil or criminal liability
- Impersonate any person or misrepresent your identity or affiliation
- Contain any material that is false, fraudulent, or misleading
5. CONTENT AND INTELLECTUAL PROPERTY
5.1 User Content
By submitting, posting, or displaying Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such Content for the purpose of operating and improving the Platform. Additionally, you grant CodeSnatch the right to use your Content for marketing and educational purposes on our Platform or on other platforms (such as YouTube, social media, blogs, or educational websites), with proper attribution to you as the original creator.
This license permits us to:
- Showcase your Content in marketing materials, advertisements, or promotional content
- Include your Content in educational resources, tutorials, or instructional materials
- Feature your Content on social media or video platforms to promote the Platform
- Use your Content as examples in presentations, webinars, or demonstrations
When using your Content for these purposes, we will make reasonable efforts to credit you as the original creator.
You represent and warrant that:
- You own or have the necessary rights to use and authorize us to use all intellectual property rights in and to any Content
- The submission of your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity
- You have the authority to grant the licenses described above
5.2 CodeSnatch Content
Unless otherwise indicated, the Platform and all content and other materials therein, including, without limitation, the CodeSnatch logo and all designs, text, graphics, pictures, information, data, software, sound files, and other files (collectively, "CodeSnatch Content"), are the proprietary property of CodeSnatch or our licensors.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the CodeSnatch Content solely for personal, non-commercial purposes in connection with using the Platform.
5.3 Marketplace Content
For Content sold in the Marketplace:
- Contributors retain ownership of their Content
- When Contributors sell Content, they grant purchasers a non-exclusive, non-transferable license to use the Content
- CodeSnatch takes a commission on all sales through the Marketplace, which varies based on user role (15% for Users and Contributors, 12% for Influencers)
- Commission rates are subject to change at any time at CodeSnatch's discretion
- Contributors are responsible for ensuring their Content does not infringe on the rights of others
5.4 Marketplace Content Responsibility
CodeSnatch does not review all Content submitted to the Marketplace and is not responsible for the content of any materials submitted, posted, or sold by Users on the Marketplace. You, as the Contributor, are solely responsible for any Content you submit, post, or sell, and you represent and warrant that:
- You have all necessary rights, licenses, and permissions to sell such Content on the Marketplace;
- Your Content does not infringe upon or misappropriate any intellectual property rights or other proprietary rights of any third party;
- Your Content is intended for educational purposes only and is not copied or substantially derived from proprietary code belonging to employers, companies, or other third parties;
- You will comply with all applicable laws and regulations related to your Content.
CodeSnatch reserves the right, but has no obligation, to review, monitor, or remove any Content that we determine, in our sole discretion, violates these Terms, applicable law, or is otherwise objectionable. We expressly disclaim any liability arising from Content posted by Users in the Marketplace.
5.5 Educational Purpose Requirement
All Content submitted to the Marketplace must be primarily for educational purposes. 'Educational purposes' means Content designed to teach, demonstrate, or illustrate coding concepts, techniques, algorithms, or best practices. Content must not be:
- Production-ready code copied directly from employers or other companies;
- Proprietary software or systems that you do not have the right to distribute;
- Solutions to active competition problems, assessment tests, or other content that would enable academic or professional dishonesty;
- Malicious code, spyware, adware, or other harmful software.
CodeSnatch reserves the right to remove any Content that does not meet these requirements and to suspend or terminate the accounts of Users who repeatedly violate this policy.
6. AI AGENTS
6.1 AI Agent Usage
Companies may hire AI Agents through our Platform to handle specific tasks or entire projects. When using AI Agents, Companies acknowledge that:
- AI Agents operate autonomously based on their programming
- While we strive to ensure the quality and accuracy of AI Agents, we cannot guarantee perfect results
- Companies are responsible for reviewing and verifying the output of AI Agents
- AI Agent usage is subject to additional fees as specified on the Platform
- Token consumption rates vary between different AI models, with more advanced models potentially consuming tokens at a higher rate
- Different AI models have different capabilities and limitations, and pricing may vary accordingly
- Companies may not use AI Agents for any illegal, fraudulent, or harmful purposes
- Companies may not attempt to reverse-engineer AI Agents or use them in a way that violates these Terms
6.2 AI Agent Limitations
AI Agents may have limitations and may not be suitable for all tasks. CodeSnatch is not liable for any damages arising from the use of AI Agents, including but not limited to:
- Errors, inaccuracies, or omissions in the output generated by AI Agents
- Business decisions made based on AI Agent outputs
- Delays, interruptions, or performance issues related to AI Agents
- Security vulnerabilities or data breaches not directly caused by CodeSnatch's negligence
- Any consequential, indirect, or special damages arising from the use of AI Agents
Companies are advised to implement appropriate oversight and quality control measures when using AI Agents for business-critical tasks.
7. PAYMENTS AND SUBSCRIPTIONS
7.1 Payment Terms
When making purchases on the Platform, you agree to:
- Pay all fees and charges associated with your Account on a timely basis
- Provide accurate and complete payment information
- Authorize us to charge your chosen payment method for all purchases
- Pay applicable taxes and other charges that may be incurred
7.2 Subscription Plans
We offer various subscription plans, including storage plans, interview challenge plans, and premium memberships. For subscription plans:
- Subscriptions automatically renew unless canceled before the renewal date
- You can cancel your subscription at any time through your Account settings
- No refunds will be issued for partial subscription periods
- We reserve the right to change subscription fees upon reasonable notice
7.3 Tokens
We offer AI Assistant and Compiler tokens that can be purchased and used on the Platform. Tokens:
- Are non-refundable once purchased
- Cannot be transferred to another User or Account
- Do not expire and will remain in the user's account until used
- Token consumption rates may vary depending on the AI model used, with some models consuming more tokens than others for the same operation
- May be subject to usage limitations as specified on the Platform
7.4 Forfeiture of Earnings
Sellers in the Marketplace acknowledge and agree that:
- Earnings are processed according to the payment schedule published on the Platform
- Any unpaid earnings at the time of account termination or disabling will be forfeited and retained by CodeSnatch
- Unpaid earnings include any amounts that have been earned but not yet processed for payment according to our regular payment schedule
- CodeSnatch reserves the right to withhold or delay payments if we suspect fraudulent activity or violations of these Terms
8. PRIVACY
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Platform, you agree to our collection, use, and sharing of your information as described in our Privacy Policy.
9. THIRD-PARTY LINKS AND SERVICES
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by CodeSnatch. We do not endorse or assume any responsibility for any third-party websites, services, or content. You access and use third-party services at your own risk.
10. DISCLAIMERS
10.1 Platform Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE PLATFORM WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
- ANY ERRORS OR DEFECTS WILL BE CORRECTED
- THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS
10.2 Marketplace Content Disclaimer
CODESNATCH DOES NOT REVIEW, VERIFY, OR ENDORSE THE CONTENT AVAILABLE THROUGH THE MARKETPLACE AND IS NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, LEGALITY, OR RELIABILITY OF SUCH CONTENT. USERS ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING OR REDISTRIBUTING MARKETPLACE CONTENT AND ASSUME ANY RISKS ASSOCIATED WITH DOING SO.
WE EXPRESSLY DISCLAIM ALL LIABILITY FOR:
- ANY INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS ARISING FROM MARKETPLACE CONTENT
- ANY BUGS, ERRORS, OR SECURITY VULNERABILITIES IN CODE PURCHASED THROUGH THE MARKETPLACE
- ANY MISREPRESENTATIONS MADE BY CONTRIBUTORS ABOUT THEIR CONTENT
- ANY ACTIONS TAKEN BY USERS BASED ON MARKETPLACE CONTENT
CODESNATCH ACTS SOLELY AS A PLATFORM CONNECTING CONTRIBUTORS AND USERS AND MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY OR LEGALITY OF MARKETPLACE CONTENT.
11. LIMITATION OF LIABILITY
11.1 General Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODESNATCH, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.
IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO CODESNATCH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, UP TO A MAXIMUM OF $300. THIS LIMITATION APPLIES REGARDLESS OF THE AMOUNT PAID TO CODESNATCH DURING THAT PERIOD.
11.2 Marketplace Liability
CODESNATCH IS NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF CONTENT PURCHASED OR OBTAINED THROUGH THE MARKETPLACE. YOU EXPRESSLY UNDERSTAND AND AGREE THAT CODESNATCH IS MERELY PROVIDING A PLATFORM FOR USERS TO CONNECT AND TRANSACT, AND WE ARE NOT RESPONSIBLE FOR THE CONTENT, ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY MARKETPLACE CONTENT.
11.3 AI Agents Liability
YOUR USE OF AI AGENTS IS AT YOUR SOLE RISK. CODESNATCH IS NOT LIABLE FOR ANY BUSINESS DECISIONS, CODE IMPLEMENTATION, OR OTHER ACTIONS TAKEN BASED ON AI AGENT OUTPUT. YOU ACKNOWLEDGE THAT AI TECHNOLOGY HAS INHERENT LIMITATIONS AND MAY PRODUCE ERRORS OR UNEXPECTED RESULTS.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless CodeSnatch, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use of or activities in connection with the Platform
- Any violation of these Terms by you
- Any Content submitted, posted, or otherwise provided by you
- Your violation of any rights of any other person or entity
13. TERMINATION
13.1 Termination by CodeSnatch
We may, in our sole discretion, suspend or terminate your access to the Platform, your Account, or these Terms, without notice or liability, for any reason, including if you breach these Terms.
13.2 Termination by You
You may terminate your account at any time by following the instructions in your account settings.
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Platform will immediately cease
- We may delete or remove your Content at our discretion
- Any provisions of these Terms that by their nature should survive termination shall survive termination
13.4 Account Deletion and Unpaid Earnings
If your Account is terminated or disabled for any reason, whether initiated by you or by CodeSnatch for violations of these Terms or any other reason:
- All of your unpaid earnings at the time of account termination or disabling will be forfeited and retained by CodeSnatch;
- 'Unpaid earnings' refers to any revenue generated from your Content that has not yet been processed for payment or credited to your designated payment method according to our regular payment schedule;
- You will not be entitled to any compensation for any Content that remains on the Platform after account termination;
- CodeSnatch may, at its sole discretion, remove or retain any Content you have submitted to the Platform.
Account disabling may occur for repeated or severe violations of these Terms, fraudulent activity, extended periods of inactivity, or other reasons as determined by CodeSnatch in its sole discretion. A disabled account may, in some cases and at our sole discretion, be reinstated upon request and review.
14. CHANGES TO TERMS
We may revise these Terms at any time by updating this page. By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised Terms. We will provide notice of material changes to the Terms by posting a notice on our website or by other means as determined by us.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the province of British Columbia, Canada, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the Platform shall be resolved through:
- Informal negotiations - Parties agree to attempt to resolve any disputes through good-faith negotiations
- Mediation - If negotiations fail, parties agree to mediation under the rules of the British Columbia International Commercial Arbitration Centre
- Arbitration - If mediation fails, disputes shall be settled by binding arbitration in Vancouver, British Columbia
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CodeSnatch regarding your use of the Platform and supersede all prior agreements and understandings.
16.2 No Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
16.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.4 Assignment
You may not assign these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control.
17. SPECIAL PROVISIONS FOR SPECIFIC JURISDICTIONS
17.1 European Union
If you are a resident of the European Union:
- The governing law and dispute resolution provisions may not restrict your right to bring actions in your local courts or limit your statutory protections under EU law
- You have the right to withdraw from purchase transactions within 14 days without giving any reason, except for digital content that is delivered immediately
17.2 California Residents
If you are a California resident, you may have additional rights under California law.
By using the CodeSnatch platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
