Welcome to CodeSnatch ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the CodeSnatch platform, including our website, mobile applications, and services (collectively, the "Platform").

Additionally, you grant CodeSnatch the right to use your Content for marketing and educational purposes on our Platform or on other platforms (such as YouTube, social media, blogs, or educational websites), with proper attribution to you as the original creator.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the CodeSnatch Content solely for personal, non-commercial purposes in connection with using the Platform.

CodeSnatch does not review all Content submitted to the Marketplace and is not responsible for the content of any materials submitted, posted, or sold by Users on the Marketplace. You, as the Contributor, are solely responsible for any Content you submit, post, or sell, and you represent and warrant that:

  1. You have all necessary rights, licenses, and permissions to sell such Content on the Marketplace;
  2. Your Content does not infringe upon or misappropriate any intellectual property rights or other proprietary rights of any third party;
  3. Your Content is intended for educational purposes only and is not copied or substantially derived from proprietary code belonging to employers, companies, or other third parties;
  4. You will comply with all applicable laws and regulations related to your Content.

CodeSnatch reserves the right, but has no obligation, to review, monitor, or remove any Content that we determine, in our sole discretion, violates these Terms, applicable law, or is otherwise objectionable. We expressly disclaim any liability arising from Content posted by Users in the Marketplace.

5.5 Educational Purpose Requirement

All Content submitted to the Marketplace must be primarily for educational purposes. 'Educational purposes' means Content designed to teach, demonstrate, or illustrate coding concepts, techniques, algorithms, or best practices. Content must not be:

  1. Production-ready code copied directly from employers or other companies;
  2. Proprietary software or systems that you do not have the right to distribute;
  3. Solutions to active competition problems, assessment tests, or other content that would enable academic or professional dishonesty;
  4. Malicious code, spyware, adware, or other harmful software.

CodeSnatch reserves the right to remove any Content that does not meet these requirements and to suspend or terminate the accounts of Users who repeatedly violate this policy.

6. AI AGENTS

6.1 AI Agent Usage

Companies may hire AI Agents through our Platform to handle specific tasks or entire projects. When using AI Agents, Companies acknowledge that:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CODESNATCH DOES NOT REVIEW, VERIFY, OR ENDORSE THE CONTENT AVAILABLE THROUGH THE MARKETPLACE AND IS NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, LEGALITY, OR RELIABILITY OF SUCH CONTENT. USERS ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING OR REDISTRIBUTING MARKETPLACE CONTENT AND ASSUME ANY RISKS ASSOCIATED WITH DOING SO.

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR:

11. LIMITATION OF LIABILITY

11.1 General Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODESNATCH, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO CODESNATCH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, UP TO A MAXIMUM OF $300. THIS LIMITATION APPLIES REGARDLESS OF THE AMOUNT PAID TO CODESNATCH DURING THAT PERIOD.

11.2 Marketplace Liability

CODESNATCH IS NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF CONTENT PURCHASED OR OBTAINED THROUGH THE MARKETPLACE. YOU EXPRESSLY UNDERSTAND AND AGREE THAT CODESNATCH IS MERELY PROVIDING A PLATFORM FOR USERS TO CONNECT AND TRANSACT, AND WE ARE NOT RESPONSIBLE FOR THE CONTENT, ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY MARKETPLACE CONTENT.

11.3 AI Agents Liability

YOUR USE OF AI AGENTS IS AT YOUR SOLE RISK. CODESNATCH IS NOT LIABLE FOR ANY BUSINESS DECISIONS, CODE IMPLEMENTATION, OR OTHER ACTIONS TAKEN BASED ON AI AGENT OUTPUT. YOU ACKNOWLEDGE THAT AI TECHNOLOGY HAS INHERENT LIMITATIONS AND MAY PRODUCE ERRORS OR UNEXPECTED RESULTS.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CodeSnatch, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

13.1 Termination by CodeSnatch

We may, in our sole discretion, suspend or terminate your access to the Platform, your Account, or these Terms, without notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by following the instructions in your account settings.

13.3 Effect of Termination

Upon termination:

13.4 Account Deletion and Unpaid Earnings

If your Account is terminated or disabled for any reason, whether initiated by you or by CodeSnatch for violations of these Terms or any other reason:

  1. All of your unpaid earnings at the time of account termination or disabling will be forfeited and retained by CodeSnatch;
  2. 'Unpaid earnings' refers to any revenue generated from your Content that has not yet been processed for payment or credited to your designated payment method according to our regular payment schedule;
  3. You will not be entitled to any compensation for any Content that remains on the Platform after account termination;
  4. CodeSnatch may, at its sole discretion, remove or retain any Content you have submitted to the Platform.

Account disabling may occur for repeated or severe violations of these Terms, fraudulent activity, extended periods of inactivity, or other reasons as determined by CodeSnatch in its sole discretion. A disabled account may, in some cases and at our sole discretion, be reinstated upon request and review.

14. CHANGES TO TERMS

We may revise these Terms at any time by updating this page. By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised Terms. We will provide notice of material changes to the Terms by posting a notice on our website or by other means as determined by us.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the province of British Columbia, Canada, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved through:

  1. Informal negotiations - Parties agree to attempt to resolve any disputes through good-faith negotiations
  2. Mediation - If negotiations fail, parties agree to mediation under the rules of the British Columbia International Commercial Arbitration Centre
  3. Arbitration - If mediation fails, disputes shall be settled by binding arbitration in Vancouver, British Columbia

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CodeSnatch regarding your use of the Platform and supersede all prior agreements and understandings.

16.2 No Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment

You may not assign these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control.
